# Ownvestia: a practical U.S. launch plan

Prepared for Latrelle Swayne · October 23, 2026 · Initial scope: a U.S. marketplace with a California pilot.

**The concept can be built. Taking investment money is a separate, regulated launch.** This is a planning brief for discussions with securities counsel, a CPA, payment partners and an insurance broker. It is not an opinion that the platform or a particular offering complies with law.

## The launch structure I recommend

Start with one project category, one sponsor and a defined project entity. Keep discovery, developer bidding, project coordination and education in the platform. Have qualified securities counsel and an appropriately registered intermediary design and control the investment offering and onboarding. Use approved banking/escrow and payout arrangements for money movement. A software integration does not, by itself, make your own activities exempt from licensing.

For a small-dollar retail pilot, evaluate **Regulation Crowdfunding (Reg CF)** first. It generally permits an eligible issuer to raise up to **$5 million in 12 months**, through a registered broker-dealer or funding portal. This is not a license for an unregistered website to offer securities. Issuer eligibility, investor limits, disclosures, financial statements and reporting still matter. [SEC Reg CF overview](https://www.sec.gov/resources-small-businesses/exempt-offerings/regulation-crowdfunding).

For larger or different offerings, counsel can evaluate **Reg D Rule 506(c)** (all purchasers accredited, with reasonable verification) or **Reg A Tier 2** (up to $75 million, with SEC qualification and ongoing obligations). These are different routes with different operating costs and audiences. A high-rise can have bank debt and sponsor capital alongside an appropriately structured community tranche; do not assume the whole building can use one retail crowdfunding round. The prototype's $8.5 million Union Yard round would exceed the Reg CF issuer limit if treated as one such offering. [SEC exempt offerings](https://www.sec.gov/resources-small-businesses/exempt-offerings), [SEC Regulation A](https://www.sec.gov/resources-small-businesses/exempt-offerings/regulation).

## SEC, FINRA and the offering

Equity, passive profit-sharing contracts and many investment notes can be securities. The economic arrangement matters more than the label. Calling a payment a donation, membership, group contribution or checkbox acceptance does not settle its legal status.

For a Reg CF launch, confirm the responsible registered intermediary, required Form C materials, issuer financial disclosures, investor eligibility/limits, cancellations, records and annual reporting. Reg CF is not available to every business; an acquisition vehicle with an unidentified target is a specific concern. Form the project and offering structure before inviting commitments. [SEC issuer guide](https://www.sec.gov/resources-small-businesses/small-business-compliance-guides/regulation-crowdfunding-guidance-issuers).

The intermediary’s role also constrains the product. A funding portal cannot act like an investment adviser or freely solicit purchases. Paid promotion, projected returns, recommendation algorithms and transaction-based platform compensation need specific review. Using a registered partner is not permission for every other company involved to perform brokerage activities. [SEC intermediary FAQ](https://www.sec.gov/rules-regulations/staff-guidance/trading-markets-frequently-asked-questions/cfportal-faqs), [SEC broker-dealer guide](https://www.sec.gov/about/divisions-offices/division-trading-markets/division-trading-markets-compliance-guides/guide-broker-dealer-registration).

**The rank-to-equity incentive needs legal review before launch.** It should not be presented as a way to pressure users into investing more to avoid losing ownership. I would start the live pilot with clear, fixed classes and a disclosed allocation process. If a changing pre-close allocation is retained, counsel and the intermediary must approve its disclosure, fairness, consent and cancellation handling. Material offering changes can require reconfirmation. Once issued, holdings and payment rights do not get reranked because another person invests more.

Groups can begin as research and discussion spaces. Pooling members’ money, investing on their behalf or selling interests in an acquisition group adds investment-company and adviser questions. A project LLC is not an automatic exception. [SEC investment club bulletin](https://www.sec.gov/answers/clubs.htm).

## Payments: what the host dashboard now demonstrates

The host dashboard calculates a **profit distribution** from a separate fictional finalized rights register. It supports equity only, profit sharing only, or both. It does not collect deposits, execute investment agreements, issue ownership, pay users, or update actual portfolio cash.

The sequence is:

1. Record host funding for a batch; the demo can simulate settlement.
2. Separately enter reserves, approved project costs, disclosed fees and approved debt service.
3. Review the cash that is available as distributable profit under the governing agreement.
4. Allocate according to the finalized register and explicit waterfall, with exact-cent rounding.
5. Enter any reviewed withholding amounts; calculate each investor’s gross and net payment.
6. Review and save a prepared batch. Duplicate preparation for the same project/month is blocked. Export a clearly labeled demo CSV.

The mixed sample uses a **10% profit-sharing pool first**, then gives the investor equity class **20% of the remaining profit**. Within each class, fixed weights divide its pool. This is one disclosed illustration, not a universal rule that 20% equity always produces 20% of every cash receipt. Final agreements may require preferred returns, capital repayment, a promote or other priorities; those need a different schedule.

For example, $10,000 host funding less $1,000 retained reserves and $1,000 project costs leaves $8,000 available profit. The sample allocates $800 to profit-sharing investors, $1,440 to the investor equity class, and $5,760 to the sponsor/other equity. The totals reconcile. A tax withholding entry reduces the investor's net amount; it is shown separately and is not remitted by the demo.

For real money, the host would fund the designated project account at the approved bank/payment provider. The platform would receive verified settlement information, calculate a reviewed batch and submit authorized payout instructions through the contracted provider. A cash deposit is not, on its own, evidence of earned or distributable profit.

Reg CF fundraising has specific fund-handling rules: a funding portal directs investors to a qualified third party. Ongoing issuer distributions need their own reviewed payout arrangement; do not assume the fundraising escrow automatically supplies it. State money-transmission and federal funds-handling obligations depend on the actual parties and fund flow. A normal company checking account or ordinary checkout integration is not a sufficient legal design. [SEC intermediary FAQ](https://www.sec.gov/rules-regulations/staff-guidance/trading-markets-frequently-asked-questions/cfportal-faqs), [California DFPI money transmitters](https://dfpi.ca.gov/regulated-industries/money-transmitters/).

Production controls should include project-level cash segregation, a reconciled ledger, final cap-table versions and transfer records, verified payout recipients, appropriate identity/sanctions/AML responsibilities, tax review, separate preparation and release permissions, signed provider webhooks, idempotent payment instructions and failure/return handling. Record a payment as paid only after provider confirmation. Protect real recipient identities and financial details through server authorization, not browser-only role previews.

## FDIC: protection for eligible bank deposits, not investment performance

Ownvestia, as a nonbank software company, would not become FDIC-insured merely by launching an app. Eligible deposits at an insured bank may be covered, generally up to $250,000 per depositor, per bank, per ownership category. Pass-through coverage requires the right structure and records and considers the depositor's other deposits at that bank.

FDIC insurance does not insure project equity, profit-sharing performance, securities losses, a failed development, or the nonbank platform's own failure. Clearly identify where cash sits, when it is invested and the applicable coverage limitations. Do not advertise the investments as FDIC-insured or guaranteed. [FDIC third-party app guidance](https://www.fdic.gov/consumer-resource-center/2024-06/banking-third-party-apps), [FDIC uninsured financial products](https://www.fdic.gov/resources/deposit-insurance/financial-products-not-insured).

## IRS and tax administration

Choose the entity and tax treatment with a CPA before designing tax reporting. An LLC taxed as a partnership typically files Form 1065 and provides Schedule K-1; investors can have taxable allocated income even without a matching cash payout. Cash distributions and taxable income are different, and distributions can affect basis. Interest, corporate dividends and other arrangements can require different information reporting. Do not automatically classify every distribution as a dividend or send every investor a 1099-DIV. [IRS Publication 541](https://www.irs.gov/publications/p541), [IRS 1099-DIV instructions](https://www.irs.gov/instructions/i1099div).

Plan a secure collection and review process for tax certifications such as W-9/W-8 where applicable, tax identification validation, backup/foreign withholding when required, annual federal and state reporting, and corrections. Assign issuer-versus-platform responsibilities in contracts. Foreign investors and multi-state projects add complexity; a U.S.-only first pilot can reduce the initial scope. The prototype's manual withholding entry is a calculation input, not a tax determination.

## Privacy, agreements and investor risk

Publish a truthful privacy policy based on the actual data collected, used, shared and retained. California's CalOPPA can require an online privacy policy even when a business is below CCPA thresholds. Evaluate CCPA/CPRA applicability, financial-data rules and the laws of other launch states. Do not assume a financial-services relationship exempts all platform data. [California privacy-policy guidance](https://oag.ca.gov/privacy/facts/online-privacy/privacy-policy), [CPPA FAQs](https://cppa.ca.gov/faq.html).

Prepare the following document set with counsel:

| Document or control | What it must explain |
| --- | --- |
| Privacy policy and notices | Identity of the operator; data categories and purposes; vendors; sharing; retention; security; user rights; contact process; applicable cookies/tracking choices. |
| Platform terms and fee schedule | What the platform does; account responsibilities; complaints; conflicts; fees; limitations; governing procedures. |
| Issuer/host agreement | Authority, disclosures, updates, permitted communications, insurance, document accuracy, recordkeeping and remedies. |
| Offering and subscription documents | The actual issuer, security/class, price, dilution, voting rights, allocations, cancellation rights and signed version. |
| Entity agreement and distribution policy | Meaning of profit, reserves, fees, priority, capital returns, approvals, transfer rules and buyout terms. |
| Risk disclosures | Total loss, illiquidity, delays, leverage, cost overruns, conflicts, dilution and uncertainty of returns. |
| Electronic consent and records | Accessible documents, version history, identity, timestamps and durable copies; plain-English summaries supplement the legal terms. |
| Community and marketing policy | Sponsor identification, paid-promotion disclosure, comment moderation, recording consent and compliant communication archives. |
| Payment and tax procedures | Account ownership, settlement, refunds, withholding, failed payments, reconciliations and annual statements. |

Risk information belongs at the project, calculator and commitment steps. Show downside cases and the assumptions behind any ROI estimate. A numerical chance of gain or loss needs a defensible methodology; a risk label is not a validated probability. Never imply SEC approval or that popularity establishes safety. A one-year transfer restriction ending does not create a resale market or guaranteed buyer. [Investor.gov crowdfunding bulletin](https://www.investor.gov/introduction-investing/general-resources/news-alerts/alerts-bulletins/investor-bulletins/updated-11).

The present prototype keeps draft work in browser storage and uses fictional records. A production privacy policy must be rewritten around the real legal entity, hosting, onboarding, document, analytics, banking and tax vendors. Do not put a stock privacy policy online that promises a process you have not implemented.

## Project insurance and platform insurance

**Require project-appropriate insurance as an underwriting condition; do not promise insured investment returns.** Ask a licensed commercial broker to design a project matrix: construction builder's risk/property coverage; general liability; workers' compensation where required; applicable professional liability; and coverage for the operating business. Consider completion/performance protections where appropriate. Separately assess platform cyber, technology E&O, crime/fidelity and D&O coverage.

Builder's risk generally protects covered physical construction losses, subject to the policy's exclusions, deductibles, limits and endorsements. It is not a guarantee that investors get their principal back or that a project will earn a profit. Review insurer, insured entities, actual policy and endorsements, term, limits, exclusions and claims procedures; a certificate alone is not the coverage contract. [Travelers construction coverage example](https://www.travelers.com/business-insurance/energy/renewable/wind-power), [California commercial insurance guide](https://www.insurance.ca.gov/01-consumers/105-type/95-guides/09-comm/commercialguide.cfm).

For businesses and acquisitions, match the insurance to their actual operations. Do not sell insurance or take insurance-related compensation without the appropriate licensed arrangement and legal review. Insurance reviews, like sponsor video interviews, supplement rather than replace title/site-control diligence, permits, financial review and sponsor checks.

## A staged route through the hurdles

| Stage | Concrete deliverable before moving on |
| --- | --- |
| 1. Define the pilot | One category, jurisdiction, sponsor, project entity, target raise and investor audience. Distinguish software fees from offering compensation. |
| 2. Choose the legal route | Written securities-counsel scope covering offering exemption, intermediary, group structure, marketing, projected returns and transfer features. |
| 3. Contract the partners | Confirm the registered intermediary in official records; document banking/escrow, distribution, tax, identity and insurance responsibilities. |
| 4. Prepare the offering | Sponsor diligence, site authority, financials, required disclosures, final rights/waterfall and release conditions. |
| 5. Build production controls | Secure accounts, permissions, vendor contracts, document records, payments ledger, reconciliations, tested failed-payment paths and incident response. |
| 6. Approve public materials | Counsel-reviewed documents, risk/fee displays, communications, branding clearance and a registered domain. |
| 7. Run a limited pilot | Complete required approvals and test end-to-end partner flows before accepting real investments; reconcile the first distribution and reporting cycle. |

Do not try to solve every license with a disclaimer. Select the legal model, then build the app around the responsibilities that model permits.

## Your chosen working brand: Ownvestia

**Ownvestia** (own-VES-tee-uh) brings ownership and investment into a distinctive coined name chosen by Latrelle. Keep the existing line: **Build something worth owning.** The four-part circle, forest green, mint and limestone palette remain part of the identity.

At the October 23, 2026 21:43 UTC check, Verisign's .com registry returned no record (HTTP 404) for `ownvestia.com` and `getownvestia.com`. No registry record is a promising registration signal, not a purchase, reservation or guaranteed price. No domain was bought or connected. `ownsemble.com`, the previous working name, was registered.

A public USPTO wordmark search for `Ownvestia*`, with live and dead statuses included, returned **zero results**. This is a prefix screen, not full legal clearance. The general web search surfaced **Investia Financial Services**, an existing financial-services business. That is a related-name issue for counsel to evaluate, not a determination that a trademark conflict exists. [Investia official website](https://investia.ca/).

**I cannot establish that Ownvestia is untrademarked, registrable or safe to launch from these checks.** A trademark attorney must examine similar spellings, sounds, related financial/software services, state records, common-law uses and the intended territories. [USPTO clearance guidance](https://www.uspto.gov/trademarks/basics/why-search-similar-trademarks).

| Item | Current finding | Next step |
| --- | --- | --- |
| Ownvestia.com | No .com registry record at the check | Confirm registrar availability and price, then register with owner authorization. |
| GetOwnvestia.com | No .com registry record at the check | Optional defensive/marketing address; not registered or reserved. |
| Federal wordmark prefix screen | Ownvestia* returned zero results | Conduct a comprehensive attorney-led similarity search. |
| Related financial-services name | Investia exists | Assess similarity, services and territory; do not assume clearance. |
| Prototype brand | Updated to Ownvestia with the original slogan | Treat as a provisional identity until cleared and secured. |

Before a public financial launch: complete comprehensive name clearance, register the chosen domain, secure account recovery and renewal, and file the appropriate trademark application if advised. The existing hosted prototype address remains in place while this work is completed.
